Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and SigDrive, LLC ("SigDrive," "we," "us," or "our") governing your access to and use of the SigDrive website at sigdrive.com (the "Website") and any related services.

By accessing or using our Website, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Website. If you are accessing or using the Website on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

Note: Use of the SigDrive enterprise platform is governed by a separate Master Service Agreement ("MSA") and any applicable Order Forms. In the event of any conflict between these Terms and an executed MSA, the MSA shall prevail.

Use of Website

Permitted Use

You may use our Website only for lawful purposes and in accordance with these Terms. The Website is intended to provide information about SigDrive's products and services and to facilitate business communications.

Prohibited Activities

You agree not to:

• Use the Website in any way that violates any applicable law or regulation
• Attempt to gain unauthorized access to any portion of the Website or any systems or networks connected to it
• Use any robot, spider, scraper, or other automated means to access the Website
• Introduce any viruses, malware, or other harmful code
• Interfere with or disrupt the integrity or performance of the Website
• Attempt to decipher, decompile, disassemble, or reverse engineer any of the software used on the Website
• Impersonate or attempt to impersonate SigDrive, an employee, another user, or any other person or entity
• Collect or harvest any personally identifiable information from the Website
• Use the Website for any commercial purpose without our prior written consent

Intellectual Property Rights

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, selection, and arrangement) are owned by SigDrive, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The SigDrive name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of SigDrive or its affiliates. You must not use such marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable license to access and use the Website for your personal, non-commercial informational purposes only. This license does not include any right to:

• Modify or copy any materials from the Website
• Use any materials for any commercial purpose
• Transfer the materials to another person or "mirror" the materials on any other server
• Remove any copyright or other proprietary notations from the materials

User Submissions

When you submit information through our contact forms, demo requests, or other interactive features, you grant SigDrive a non-exclusive, royalty-free, perpetual, irrevocable right to use such submissions for the purpose of responding to your inquiry and providing our services.

You represent and warrant that any information you submit is accurate, complete, and does not violate these Terms or any applicable law. You are solely responsible for any submissions you make.

Third-Party Links and Content

The Website may contain links to third-party websites or resources. These links are provided for your convenience only. We have no control over the contents of those sites or resources and accept no responsibility for them or for any loss or damage that may arise from your use of them.

SIGDRIVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Website will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Website or the servers that make it available are free of viruses or other harmful components.

We make no warranties or representations about the accuracy, reliability, completeness, or timeliness of the content, services, software, text, graphics, or links on the Website.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SIGDRIVE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE WEBSITE.

IN NO EVENT SHALL SIGDRIVE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE WEBSITE EXCEED ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless SigDrive, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website.

Export Controls

You acknowledge that our products, services, and technical data (collectively, "Controlled Items") may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) and the International Traffic in Arms Regulations (ITAR).

You agree to comply with all applicable export control laws and regulations and not to export, re-export, or transfer any Controlled Items to any prohibited destination, entity, or person without the required government authorizations.

U.S. Government Rights

If you are a U.S. Government end user, the Website and any related documentation are "Commercial Items" as defined in 48 C.F.R. §2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. §12.212 or 48 C.F.R. §227.7202. The Website is licensed to U.S. Government end users only as Commercial Items and with only those rights as are granted to all other end users under these Terms.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to its conflict of law provisions.

Any legal suit, action, or proceeding arising out of or related to these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Ohio, in each case located in Montgomery County. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, you agree to first attempt to resolve the dispute informally by contacting us at legal@sigdrive.com. If we are unable to resolve the dispute informally within thirty (30) days, either party may pursue formal legal remedies as set forth herein.

Changes to Terms

We reserve the right to modify these Terms at any time in our sole discretion. If we make material changes to these Terms, we will notify you by updating the "Last updated" date at the top of these Terms and, where appropriate, provide additional notice.

Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of any other provision.

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Website, constitute the entire agreement between you and SigDrive with respect to your use of the Website and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and SigDrive.
